1. Company Information

The artworks and artistic services presented on this website are promoted and sold by Carton Rouge, an international contemporary art agency representing selected contemporary artists.

Sales and project management are handled by:

2. Scope

These Terms and Conditions of Sale govern all sales, orders and artistic services offered by Carton Rouge, including but not limited to:

• Original artworks
• Paintings
• Sculptures
• Limited editions
• Artist Proofs
• Photography
• Mixed-media artworks
• Monumental sculptures
• Bespoke commissions
• Live Painting performances
• Art leasing
• Art rental
• Corporate art projects
• Artistic installations

By placing an order through the website or confirming an order directly with Carton Rouge, the purchaser acknowledges having read and accepted these Terms and Conditions.

Mandatory statutory consumer rights remain applicable where required by law.

3. Nature of the Artworks

All artworks offered by Carton Rouge are original artistic creations produced by, or under the authority of, the represented artists.

Artworks may include original works, unique pieces, limited editions, Artist Proofs (A.P.), sculptures, monumental sculptures, photography, mixed-media artworks and bespoke commissions.

Due to the handcrafted and artistic nature of the works, minor variations in dimensions, colour, texture, patina, finish or appearance may occur.

Such variations inherent to the artistic or manufacturing process shall not in themselves constitute defects.

4. Limited Editions

Certain artworks are produced as limited editions.

Each edition may include numbered editions and, where applicable, Artist Proofs (A.P.).

Once a particular edition is completed, no additional artworks will be produced as part of that same numbered edition.

Unless otherwise contractually agreed, the artist may create other artworks, interpretations, sizes, colours, materials, finishes or artistic variations based on the same artistic concept.

5. Artwork Availability & Order Confirmation

All artworks remain subject to availability until the order has been formally confirmed by Carton Rouge.

An artwork may simultaneously be presented through Carton Rouge, partner galleries, art platforms, exhibitions, fairs or other authorised sales channels.

Submission of an online order and authorisation or receipt of payment do not necessarily constitute final acceptance of the order by Carton Rouge.

An order becomes confirmed following verification of:

• artwork availability;
• payment;
• purchaser information;
• and, where necessary, any additional information required to process the acquisition.

Carton Rouge reserves the right to refuse or cancel an order where the artwork is no longer available, where payment cannot be verified, where fraud is reasonably suspected, or where the transaction cannot legally or operationally be completed.

If Carton Rouge cannot fulfil an order after payment has been collected, the corresponding amount will be refunded using the original payment method where reasonably possible.

6. Prices

Unless otherwise stated, prices are expressed in Euros (€).

Prices displayed to consumers include applicable French VAT where required, unless expressly stated otherwise.

The displayed artwork price does not include, unless expressly stated:

• shipping;
• specialised packaging;
• transportation insurance;
• installation;
• customs duties;
• import taxes;
• local taxes arising in the destination country;
• engineering or technical studies;
• permits or specialised installation services.

Where applicable, customs duties, import taxes and other charges imposed by the destination country remain the purchaser’s responsibility.

Carton Rouge reserves the right to modify artwork prices at any time before an order has been confirmed.

Once an order has been formally confirmed, the agreed artwork price will not be modified except where expressly agreed with the purchaser or required by law.

7. Shipping Costs

Shipping is not included in the artwork price unless expressly stated otherwise.

Shipping costs are borne by the purchaser.

Due to the nature of contemporary artworks, sculptures and monumental pieces, shipping costs may depend on:

• destination;
• dimensions;
• weight;
• artwork value;
• packaging requirements;
• insurance requirements;
• customs formalities;
• accessibility;
• installation requirements;
• specialist fine-art handling.

Where shipping cannot reasonably be calculated automatically before purchase, Carton Rouge will prepare a personalised shipping quotation based on the delivery information supplied by the purchaser.

The purchaser may contact Carton Rouge before purchasing to request a shipping quotation by providing:

• the artwork title or reference;
• destination country;
• full postal address;
• contact details;
• and any relevant delivery or installation information.

The purchaser shall be informed that additional shipping costs may apply where such costs cannot reasonably be calculated in advance.

No separately quoted shipping service will be undertaken without the purchaser’s agreement where such agreement is required.

8. Payment

Available artworks purchased online generally require 100% payment of the artwork price at the time of purchase or order confirmation.

Accepted payment methods may include:

• credit cards;
• debit cards;
• international bank transfers;
• Apple Pay and/or Google Pay where available;
• approved payment partners;
• other payment methods displayed during checkout.

Online card payments may be processed through third-party payment service providers.

Carton Rouge does not directly store the purchaser’s complete payment-card information where payment is processed by such third-party providers.

For high-value acquisitions, Carton Rouge may request or propose payment by bank transfer and may carry out appropriate identity, compliance or payment verification before confirming the transaction.

Preparation or shipment of an artwork may be suspended until cleared funds have been received.

9. Bespoke Commissions

A Bespoke Commission is an artwork produced according to the purchaser’s specifications or clearly personalised for the purchaser.

Bespoke commissions generally require:

• 50% deposit upon order confirmation;
• 50% balance before delivery or shipment.

Unless otherwise agreed in writing, production begins only after:

• receipt of the required deposit;
• confirmation of the client’s specifications;
• and written approval of the concept or design where such approval is required.

Once production has begun, modifications requested by the purchaser may result in additional costs and revised production times.

10. Bespoke Commissions — Cancellation & Right of Withdrawal

Where an artwork is made to the consumer’s specifications or is clearly personalised, the statutory right of withdrawal may not apply in accordance with applicable consumer law.

Where this statutory exception applies, the purchaser acknowledges that the bespoke or personalised order is final and non-refundable.

Deposits paid for bespoke production are non-refundable once production has begun, to the extent permitted by applicable law.

Where appropriate, the purchaser may be required to expressly acknowledge before confirming the commission that the artwork is being produced according to their specifications and that the statutory right of withdrawal does not apply where the applicable legal exception is satisfied.

Nothing in this section limits mandatory rights that cannot legally be excluded.

11. Monumental Projects

Monumental sculptures, large-scale installations and complex artistic projects may be governed by a dedicated contract.

Such projects may require:

• staged payments;
• engineering studies;
• structural calculations;
• site surveys;
• architectural validation;
• permits;
• specialised transportation;
• cranes or lifting equipment;
• professional installation.

The payment schedule, technical responsibilities, delivery terms and acceptance procedure may therefore be established separately for each project.

Where a dedicated agreement conflicts with these general Terms and Conditions, the dedicated agreement shall prevail for the relevant project to the extent legally permitted.

12. Production Time

Production times for made-to-order or commissioned artworks depend on factors including:

• artwork dimensions;
• artistic complexity;
• materials;
• artist availability;
• manufacturing processes;
• current production schedule;
• technical requirements.

Any estimated production date communicated before final confirmation is indicative unless expressly agreed as binding.

Carton Rouge will make reasonable efforts to inform the purchaser of significant changes to the anticipated production schedule.

13. Delivery

Delivery may be organised through professional logistics companies experienced in transporting artworks.

Depending on the artwork and destination, services may include:

• protective or museum-quality packaging;
• wooden crates;
• insured transportation;
• international customs management;
• specialist handling;
• professional installation.

The estimated dispatch and/or delivery period will be communicated to the purchaser in accordance with applicable law and the agreed delivery arrangements.

Carton Rouge shall not be responsible for delays directly caused by circumstances beyond its reasonable control, subject to any mandatory consumer rights.

14. Receipt & Inspection of the Artwork

The purchaser should inspect the artwork and its packaging upon delivery.

Where visible damage has occurred during transportation, the purchaser should:

• photograph the packaging before opening where possible;
• photograph any visible damage;
• retain all original packaging;
• note appropriate reservations with the carrier where applicable;
• notify Carton Rouge as soon as reasonably possible.

Such procedures assist Carton Rouge in handling insurance and transport claims and do not limit any mandatory statutory rights of the purchaser.

15. Transfer of Risk

Transfer of risk shall take place in accordance with applicable law and the agreed delivery arrangements.

For consumer transactions, nothing in these Terms shall transfer risk to the consumer earlier than permitted under mandatory consumer law.

For professional purchasers, monumental projects or individually negotiated transactions, specific transport terms or Incoterms may be agreed in writing.

16. Consumer Right of Withdrawal

Where applicable under French and European consumer law, a consumer purchasing an eligible artwork remotely benefits from a statutory fourteen (14) day right of withdrawal, generally calculated from receipt of the artwork.

The consumer must notify Carton Rouge of the decision to withdraw within the applicable statutory period by an unambiguous statement or by using the withdrawal form provided below.

The right of withdrawal does not apply where a statutory exception applies, including, where legally applicable, goods made to the consumer’s specifications or clearly personalised.

17. Returns Following Withdrawal

Where a valid statutory right of withdrawal is exercised, the artwork must be returned within the legally applicable period.

Where permitted by law and where the purchaser has been properly informed, the direct cost of returning the artwork shall be borne by the purchaser.

Because artworks may require specialised transportation, the cost of return may be significantly higher than ordinary parcel delivery.

The purchaser must take appropriate care of the artwork and use suitable protective packaging and transportation.

Whenever reasonably possible, the original protective packaging should be reused.

The purchaser may be responsible for any diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and condition of the artwork, in accordance with applicable law.

A blanket refusal of reimbursement will not automatically apply merely because damage is alleged. Responsibility for deterioration, transportation damage and any resulting reduction in reimbursement will be determined according to the circumstances and applicable law.

18. Refunds

Where a consumer validly exercises a statutory right of withdrawal, Carton Rouge will process any refund due in accordance with applicable law.

Refunds will generally be made using the same payment method used for the original transaction unless otherwise agreed.

This does not apply to bespoke, personalised or made-to-specification artworks where the statutory exclusion from the right of withdrawal validly applies.

Nothing in these Terms limits statutory rights relating to defective, damaged or non-conforming goods.

19. Finality of Sales

For eligible consumer purchases, once the applicable statutory withdrawal period has expired without a valid withdrawal being exercised, the sale shall be considered final, subject to mandatory statutory guarantees and other rights that cannot legally be excluded.

For professional purchasers, specific contractual conditions may apply.

Bespoke and clearly personalised commissions are final and non-refundable where the statutory exception to the right of withdrawal applies.

20. Order Cancellation & Abandonment

For commissions and projects requiring staged payments, if a purchaser fails to pay an agreed balance or ceases communication, Carton Rouge will make reasonable attempts to contact the purchaser using the contact information provided.

Subject to applicable law and any dedicated contract, if no response is received within three (3) months following an outstanding payment request or notification that the commissioned artwork is ready, Carton Rouge may treat the project as abandoned.

For bespoke or commissioned works already produced specifically for the purchaser, amounts already paid may be retained to the extent permitted by law and/or the applicable agreement, taking into consideration production costs, artist time, materials, storage, administration and resulting losses.

21. Storage

If an artwork cannot be delivered or collected due to delay attributable to the purchaser, Carton Rouge may charge reasonable storage costs after providing appropriate notice.

Unless otherwise agreed, storage charges may begin thirty (30) days after notification that the artwork is ready for delivery or collection, subject to applicable law.

22. Legal Guarantees

Nothing in these Terms and Conditions excludes or limits mandatory statutory rights available to consumers under applicable law.

Where applicable, consumers benefit from the statutory legal guarantee of conformity and the legal guarantee against hidden defects under French law.

These statutory protections remain applicable independently of any commercial policy stated by Carton Rouge.

23. Certificate of Authenticity

Original artworks sold by Carton Rouge are supplied with a Certificate of Authenticity where applicable.

Depending on the artwork, the certificate may include:

• artist’s name;
• artwork title;
• edition number where applicable;
• materials or technique;
• dimensions;
• production year;
• artist signature or authentication.

The Certificate of Authenticity should be retained by the collector as part of the artwork’s provenance documentation.

24. Intellectual Property

The acquisition of an artwork transfers ownership of the physical artwork only.

Copyright and intellectual property rights remain with the artist or relevant rights holder unless expressly transferred in writing.

Purchase of an artwork does not automatically include:

• reproduction rights;
• commercial exploitation rights;
• licensing rights;
• merchandising rights;
• digital reproduction rights;
• rights to create derivative products.

Any commercial reproduction or exploitation requires prior written authorisation from the relevant rights holder.

25. Image Rights & Communication

Subject to applicable intellectual property, confidentiality and privacy obligations, Carton Rouge and/or the artist may retain and use photographs or visual representations of artworks for purposes including:

• exhibitions;
• catalogues;
• publications;
• archives;
• website presentation;
• social media;
• press;
• marketing communication.

Specific confidentiality arrangements may be agreed in writing for private commissions or confidential projects.

26. Artistic Design Protection

Artistic concepts, designs and original creations developed by represented artists remain protected under applicable intellectual property laws.

Acquisition of a physical artwork does not authorise reproduction, copying or commercial exploitation of its artistic design.

Carton Rouge and/or the relevant rights holder reserve all rights and remedies available under applicable law against unauthorised reproduction or infringement.

27. Brand-Inspired Creations

Certain artworks may be inspired by automotive, architectural, cultural or luxury design references.

Unless expressly stated otherwise, such artworks are independent artistic interpretations and are not officially endorsed, sponsored or authorised by the relevant third-party brands.

All third-party trademarks, logos and intellectual property remain the property of their respective owners.

28. Art Leasing & Rental

Carton Rouge may offer art leasing and rental solutions for companies and professional clients, directly or through specialised financial partners.

Any tax or accounting advantages depend on the laws applicable to the client and their individual circumstances.

Carton Rouge does not provide legal, tax or accounting advice.

Clients should obtain independent professional advice before entering into a leasing or rental arrangement.

Separate contractual conditions may apply.

29. Live Painting & Artistic Services

Live Painting performances, corporate projects, brand collaborations and artistic installations may require individual quotations and dedicated agreements.

The quotation or agreement may specify:

• date and location;
• artist;
• duration;
• technical requirements;
• travel expenses;
• accommodation;
• materials;
• intellectual property;
• cancellation conditions;
• payment schedule.

Where such a dedicated agreement exists, its specific provisions shall apply to the relevant service.

30. Investment Disclaimer

Artworks are acquired primarily as cultural and artistic assets.

Their market value may increase or decrease over time.

Factors may include exhibitions, institutional recognition, museum acquisitions, collector demand, artist career development, economic conditions and broader art-market trends.

Carton Rouge does not guarantee any future financial appreciation, resale value or investment return.

Nothing presented on the website constitutes financial or investment advice.

31. VIP Collectors & Private Commissions

Carton Rouge may provide selected collectors with exclusive services including:

• private viewings;
• bespoke artworks;
• monumental commissions;
• confidential projects;
• private exhibitions;
• luxury brand collaborations;
• early access to selected works.

Certain services may require a dedicated agreement and may be offered at Carton Rouge’s discretion.

32. Collector Waiting Lists & Priority Access

Selected collections or artworks may operate through priority waiting lists.

Registration may provide access to:

• early previews;
• reservation priority;
• private presentations;
• pre-release information.

Registration does not guarantee allocation or availability of any artwork.

33. Private Events

Certain collections and artworks may be presented during invitation-only events organised or supported by Carton Rouge.

Admission and invitations remain at the discretion of Carton Rouge and/or the relevant event organiser.

34. Priority Collectors Program

Carton Rouge may establish a Priority Collectors Program providing selected collectors with benefits such as:

• early access to acquisitions;
• private previews;
• bespoke commissions;
• exclusive invitations;
• priority access to selected editions.

Eligibility and continuation in such a program remain at Carton Rouge’s discretion, subject to applicable law.

35. Responsible Collecting & Anti-Speculation Policy

Carton Rouge supports the sustainable development of the artists it represents and encourages responsible collecting.

Subject to applicable law, Carton Rouge may refuse future sales or allocations where there are reasonable concerns that repeated speculative purchasing or immediate resale could adversely affect an artist’s market or the integrity of a limited collection.

This policy does not restrict any statutory ownership rights already acquired by a purchaser.

36. Resale & Right of First Discussion

Collectors wishing to resell an artwork originally acquired through Carton Rouge are encouraged to contact Carton Rouge before offering the work to the wider market.

Carton Rouge may, at its discretion:

• consider repurchasing the artwork;
• assist with resale;
• introduce potential collectors;
• provide provenance information.

Unless a separate legally binding agreement expressly provides otherwise, this provision does not constitute an automatic contractual restriction on the purchaser’s legal right to resell an artwork they own.

37. Artistic Scarcity Policy

Carton Rouge seeks to preserve the integrity and rarity of represented artworks through measures including:

• limited editions;
• controlled production;
• selective allocation;
• provenance management;
• artist-led production policies.

Certain artworks may be reserved for selected collectors, institutions, exhibitions or strategic partners.

38. Augmented Reality Visualisation

Carton Rouge may offer an Augmented Reality (AR) experience allowing clients to preview selected artworks in their own environment using a compatible device.

Not all artworks represented by Carton Rouge are necessarily available in the AR application.

Where technically feasible, clients may contact Carton Rouge to request the addition of a particular artwork.

The AR experience is provided as a visual decision-support tool and may represent approximate size, proportions and placement.

The appearance of the physical artwork may differ from the AR visualisation because of factors including:

• ambient lighting;
• natural sunlight;
• shadows;
• reflections;
• screen brightness;
• colour calibration;
• camera performance;
• device characteristics;
• environmental conditions.

The AR experience is therefore a visual guide and does not constitute an exact contractual representation of the physical artwork.

The dimensions and specifications stated in the artwork’s official description and documentation shall prevail.

39. Personal Data & Payment Security

Personal information collected during an order is processed for purposes including order management, payment, delivery, customer service, fraud prevention and compliance with legal obligations.

Payment information may be processed directly by third-party payment providers.

The processing of personal data is also governed by Carton Rouge’s Privacy Policy, which purchasers are invited to review before ordering.

40. Fraud Prevention & Compliance

For high-value or international transactions, Carton Rouge may request reasonable additional information required to verify:

• purchaser identity;
• billing information;
• delivery information;
• payment legitimacy;
• regulatory compliance.

An order may be temporarily suspended while such verification is conducted.

Carton Rouge reserves the right to refuse a transaction where required by applicable law or where reasonable fraud or compliance concerns cannot be resolved.

41. Force Majeure

Carton Rouge shall not be liable for failure or delay caused by events beyond its reasonable control, subject to mandatory applicable law.

Such events may include:

• natural disasters;
• war;
• civil disturbance;
• strikes;
• pandemics;
• shortages;
• transportation disruption;
• governmental restrictions;
• major infrastructure failures;
• customs disruption.

Carton Rouge will make reasonable efforts to inform affected purchasers where such circumstances materially affect an order.

42. Consumer Mediation

Consumers should first submit any complaint directly to Carton Rouge using the contact details stated in these Terms.

Where required by French consumer law, following an unsuccessful prior written complaint, the consumer may have recourse free of charge to the consumer mediation service designated by JCM Sport Technologie Consulting.

43. Governing Law & Jurisdiction

These Terms and Conditions are governed by French law.

For consumers, this choice of law does not deprive the purchaser of any mandatory protections that may apply under applicable consumer law.

Any dispute shall be submitted to the competent courts determined in accordance with applicable law.

For professional clients, different jurisdiction provisions may be agreed in a dedicated written contract where legally permitted.

44. Severability

If any provision of these Terms and Conditions is declared invalid, unlawful or unenforceable, the remaining provisions shall continue to apply to the extent legally possible.

The invalid provision shall be interpreted or replaced, where possible, in a manner consistent with its original lawful purpose.

45. Modification of These Terms

Carton Rouge may update these Terms and Conditions from time to time.

The Terms applicable to an order are those made available to and accepted by the purchaser at the time the relevant order is placed, subject to mandatory applicable law.
